1. Services. Welcome to the Teleship Services. By using Teleship’s services (including but not limited to Services on teleship.com, services rendered by API and the Teleship apps), you agree to these Terms of Service. If you do not agree with any part of these terms, you must discontinue use of the Website immediately.

2. Access and Control As a condition of your use, you warrant to Teleship that you will not use the Services for any unlawful or prohibited purpose. You warrant that you are at least 18 years old or the age of majority in your jurisdiction to use Teleship Services. By registering, you confirm that you have the authority to act on behalf of your business. Teleship grants you a limited, revocable, non-transferable and non-exclusive license to access and use the Services via theWebsite. You may not reproduce, duplicate, sell, or redistribute any portion of this Website except with the prior written consent of Teleship. You also may not disturb the normal operation of this Website and or Services, nor infringe the integrity of this Website by hacking, preventing or limiting access to this Website for other users or alter the materials found on this Website. You shall not use the Website and or Services in a way that could damage, disable, overburden, or otherwise impair them or interfere with any other party’s use. You agree not to use the Website and or Services to collect, upload, transmit, display, reverse engineer, copy, share or distribute any information, data, or other content in order to create, build, or modify a similar or competitive service. Any material you send or post to our Website shall be considered non-proprietary and not confidential. Unless you advise to the contrary, we will be free to copy, disclose, distribute, incorporate and otherwise use such material for any and all purposes.

Furthermore, you shall not use the Website and or Services to, nor permit any third party to: (a) promote your offerings or services (commercial or otherwise); (b) defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others or publish, post, upload, or distribute any information that would result in the same; (c) download, upload, or otherwise make available materials, software, or information that is not legally yours and without permission of the intellectual property rights owner; or (d) impersonate someone else, falsely represent your identity or qualification, or breach another’s privacy.

3. Intellectual Property and Trademarks.  We are the owner or the licensee of all intellectual property rights on the Website, including content, design, graphics, and software. These works are protected by copyright and other intellectual property laws worldwide. All such rights are reserved.

You may print off one copy and may download extracts of any page(s) from the Website for your personal reference only. You must not modify the paper or digital copies of any materials you have printed or downloaded.

4. Privacy. Any submission by you of personal information shall be governed by Teleship’s Privacy Policy. You acknowledge that Teleship does not wish to receive any personal information from you that is not necessary for Teleship to perform its obligations, and, unless the parties specifically agree otherwise, Teleship may reasonably presume that any unrelated information received from you is not confidential or proprietary information. Subject to certain requests by regulatory authorities, it may become necessary for Teleship to obtain personal information. You represent and warrant that you have obtained all necessary consents; and, any personal information that you have disclosed to Teleship, has been collected and disclosed in accordance within the EU General Data Protection Regulation 2016/679 (“GDPR”), the UK Data Protection Act 2018 as well as other similar local, state, federal and international data privacy regulations (collectively and individually, the “Applicable Data Privacy Laws”).

5. Accounts and Passwords. If any part of the Website requires you to open an account (“User Account”), you must complete the registration process by providing current, complete, and accurate information as prompted by the applicable registration form. You are solely responsible for all activities that occur under your account and will be held liable for losses or damages incurred by Teleship or another party due to someone else using your account or password. You agree to notify Teleship immediately of any unauthorized use of your account or any other breach of security. Teleship will not be liable for any loss or damages that you may incur as a result of someone else using your password or account.

6. Shipping Services, Label Purchases and Compliance

By purchasing shipping labels, you authorize Teleship to charge your payment method for the costs of the labels, shipping services, and any applicable surcharges.

If discrepancies arise between declared and actual weights, dimensions, origin and/or destination of good, or other package/content details, Teleship may apply surcharges. Surcharges are based on either actual or dimensional weight, whichever is higher. Teleship may also apply surcharges/penalties for shipping prohibited items.

The following items are prohibited from shipping with Teleship:

• Agricultural Products (Food, Plants, Animal Products, and Pesticides)

• Alcohol and Tobacco

• Chemicals and Hazardous Materials

• Currencies and Precious Metals

• Dangerous Goods (e.g., explosives, radioactive materials)

• Dual Use Products

• Hazardous Waste

• Human Remains (including ashes)

• Ivory, Fur, and Products from Protected Species

• Live Animals

• Lithium Batteries of any kind

• Liquids

• Narcotics or Controlled Substances

• Offensive Materials

• Perishable Goods

• Pharmaceuticals and Medical Devices

• Products Included in the Convention on International Trade in Endangered Species (CITES)

• Weapons and Firearms

• Licensable Goods subject to import control, permits, and/or approval by governmental agencies, including but not limited to:

Teleship reserves the right to reject any shipment that violates these rules and to charge surcharges for costs incurred in reporting and dealing with these authorities.

Merchant warrants its compliance with all applicable laws, rules, and regulations including but not limited to customs laws, import and export laws, as well as  laws related to anti-corruption and anti-bribery. Merchant warrants that it is either the lawful owner of the goods or is authorized by such owner on the owner’s behalf and to arrange for disposition of same. Merchant agrees to indemnify and protect Teleship for any third parties claiming rights to, or title to, the goods. Merchant warrants that the goods are properly marked, packaged, labeled, and classified for handling and are fit for any transportation as may be required.

In preparing and submitting customs entries, export declarations, applications, security filings, documentation and/or other required data, Teleship relies on the correctness of all documentation, whether in written or electronic format, and all information furnished by Merchant. Merchant shall use reasonable care to ensure the correctness of all such information and shall indemnify and hold the Teleship harmless from all claims asserted and/or liability or losses suffered by reason of the Merchant’s failure to disclose information or any incorrect, incomplete, or false statement by Merchant or its agent, representative or contractor upon which Teleship relied.  Merchants are responsible for providing accurate customs documentation, including valid 10-digit HS codes. If not provided, Teleship may generate codes, but merchants remain liable for any customs delays or penalties. Merchants are responsible for costs associated with undeliverable or returned shipments, including additional handling fees. Teleship provides estimated duties and taxes at label checkout. However, merchants are responsible for any additional duties, taxes, or customs fees assessed upon importation and delivery.

Teleship may appoint customs brokers to handle clearance on behalf of merchants, who authorize this appointment. Teleship is not liable for customs delays or penalties caused by inaccurate documentation or shipment contents.

7.  Shipping Risk and Limitation of Liability.

For any claims regarding loss, damage or delay, Teleship shall reasonably assist with investigation on complaints and give response with detailed investigation results within fourteen (14) working days after receipt of complaints. Notwithstanding the foregoing, you acknowledge that the contracted final mile provider(s) and or carrier(s) claims policies, including their terms and conditions as well as any limitations of liability, shall apply. Teleship provides tracking information, but merchants are responsible for monitoring shipments. Teleship is not liable for delays caused by incomplete or inaccurate tracking information.

The risk of loss or damage transfers to the merchant once the shipment is handed to the carrier. Teleship disclaims responsibility unless insurance has been purchased. During the period from shipping information being generated in Teleship’s  systems when a freight/parcel is at the port of origin till the freight/parcel being delivered to recipient at the port of destination, Teleship is not liable for any loss, damage, delay, and shortage of the freight/parcel, and is not obligated to make any compensation to you, unless properly documented and such documentation indicates the shipments were in Teleship’s care, custody and control and will be subject to a maximum of £25 per parcel. Teleship does not provide any parcel return service and shipment value protection service. If the country of Origin is not identified at time of booking, it shall default to country of ‘shipping’. No insurance will be provided by default and parcels will be processed and delivered in accordance with the applicable carrier terms and conditions. Teleship is not liable for delays, penalties, or fines resulting from customs or regulatory issues caused by the merchant’s non-compliance.

8. Indemnification.

You agree to defend, indemnify, and hold harmless Teleship, its affiliates, agents, representatives, contractors, and all of their respective directors, officers, employees, partners, members, shareholders, principals, agents, and their predecessors, successors, and assigns from and against any and all actions, claims, proceedings, damages, settlements, judgments, liabilities, obligations, costs, and expenses (including without limitation attorneys' fees and litigation expenses) relating to or arising from this Website, penalties resulting from incorrect HS (Harmonized System of tariff) codes, your use of this Website and the Services, your fraud, violation of law, or willful misconduct, and any breach by you of our Privacy Policy. 

9. Disclaimer of Warranties and Limitation of Liability. THE WEBSITE AND SERVICES ARE MADE AVAILABLE TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, TELESHIP (ON BEHALF OF ITSELF AND THE TELESHIP PARTIES) DISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, NONINFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE, PERFORMANCE, QUIET ENJOYMENT, IN CONNECTION WITH THE SERVICES AND YOUR USE OF THE WEBSITE AND OUR SERVICES. TELESHIP MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, CURRENCY, OR COMPLETENESS OF THE PRODUCTS, SERVICES, OUR WEBSITE, OR THE CONTENT OF ANY WEBSITES LINKED TO OUR WEBSITE. TELESHIP DOES NOT WARRANT THAT THE WEBSITE WILL BE SECURE, UNINTERRUPTED, OR ERROR-FREE. THE TELESHIP PARTIES DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY WEBSITES AND OR SERVICES ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE WEBSITE, AND THE TELESHIP PARTIES WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. TELESHIP SHALL NOT BE LIABLE FOR LOSS OF PROFITS, OR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES.

10. Links to Third-Party Websites. Certain links on the Website may take you to third-party websites. Teleship provides these links only as a convenience to you and the use by Teleship of such links does not imply any warrant or endorsement of the third party, its products, services, or its Website. Your use of such third-party content, products, or services shared through our Website, is at your own risk. Teleship shall have the right, but not the obligation, in its sole discretion, to refuse, delete or remove any third-party content, products, or services that may be offered through the Website for any reason, including without limitation a violation of applicable law.

11. Payment.

To enable payment options, you may need to provide Teleship with (A) company name, your name (if applicable), bank information specific to open bank and direct debit, credit card numbers; and (B) your email address or other identifying information about you as the account holder. Teleship will, through your payment option provider, authenticate the identified active account holder and linking such active account with the identified user payment option, payment account and/or user card.

Merchants must maintain a valid payment method. Teleship will charge this payment method for all shipping-related services, including any surcharges or additional duties. Payment disputes or chargebacks must be raised within 4 days. Teleship reserves the right to suspend services if disputes remain unresolved. Refunds are only issued for services not rendered due to cancellations before dispatch, within three (3) calendar days from label purchase. Once a shipment has been dispatched or in the event that label is not cancelled within three (3) calendar days, the transaction is final. Refunds are not available for optional services (e.g., insurance) once these services have been rendered.

Rates regarding your charges are provided to you based on assumptions given for weight, size, dimension, value of goods etc. Surcharges will apply should there be a material variance from the information disclosed during the quoting process based on assumptions to the actual verified information. You acknowledge and agree to pay all user charges incurred, as well as any applicable services and administration fees as noted above, in accordance with the terms and conditions of this Agreement.  

12. Miscellaneous. You acknowledge and agree that Teleship does not provide legal advice, customs advice, including professional tax opinions or advice relating to customs declarations and applicable HS codes. You are solely responsible for determining, collecting, withholding, reporting, and remitting applicable taxes, duties, fees, surcharges and additional charges that arise from or as a result of any sale.

13. Applicable Law, Jurisdiction, Venue. The laws of England and Wales will govern these Website Terms and your use of the Website, without regard to any conflict of laws provisions that would result in the application of the laws of any other forum.

14. Revisions. Teleship reserves the right to revise any of the terms and conditions contained in these Terms of Service, Terms of Use and our Privacy Policy at any time and in our sole discretion by posting such revisions on our Website.

15. Termination. Merchants may terminate their accounts at any time by providing written notice. Refunds will be processed only for unused services. Teleship may suspend services for non-payment or misuse. Reactivation fees may apply, and new shipments will not be processed until payment is settled. We will not be liable to you or any third party for the termination of your access.

16. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable by a court of competent jurisdiction, the invalidity or unenforceability of such provision shall not affect the other provisions of these Terms of Service, which shall remain in full force and effect.

17. Force Majeure. Teleship is not liable for failure to perform or delays caused by circumstances beyond its control, including acts of God; public authorities acting with actual or apparent authority; strikes; labor disputes; weather; mechanical or equipment failures; cyber-attacks; pandemics; civil commotions; hazards incident to a state of war; acts of terrorism; acts or omissions of customs or quarantine officials; acts of carriers related to security; the nature of the goods or freight, or any defects thereof; inherent vice of the goods; perishable qualities of the merchandise; fires; frost or change of weather; floods; wind; storm; moths; public enemies; or other causes beyond Teleship’s control.
